- Providing full legal support to Group Companies in Vietnam, in respect of a broad spectrum of matters, including but not limited to rendering of legal advice, handling of due diligence and handling of agreements (including developing robust templates) in respect of the following types of activities in the country:
- Cooling and district cooling services
- Development of electric infrastructure and microgrids in industrial zones
- Rooftop solar (RTS) and other sustainable energy solutions
- Lease Agreements, Supply Agreements, Power Purchase Agreements, and EPC and O&M contracts in relation to the above.
- M&A and joint-ventures; and
- Procurement contracts and tenders.
- Reviewing, advising on, negotiating and drafting letters of intent, non-binding offers, confidentiality agreements, MOUs and other transaction documents for various projects.
- Conduct legal due diligence on the customers for the purpose of RTS projects, cooling projects, etc.
- Handling claims, investigations, disputes and related litigious matters.
- Handling general corporate and commercial matters such as loan agreements, lease agreements and employment matters.
- Establishing and managing relationships with external legal firms.
- Advising the Group and implementing solutions concerning corporate/project structure, transactions, agreements and compliance in the normal course of the business in Vietnam.
- Working closely with the legal team in Singapore.
- Oversight of legal and compliance (including regulatory) risks across its functions and business divisions.
- Updating on new regulations and alerting impacted divisions/functions.
- Providing support for corporate secretarial matters where necessary.
- Law degree with a solid legal background.
- Minimum of 5 years' experience working in-house and/or at a reputable law firm.
- Strong track record in drafting, reviewing, and negotiating contracts with clients.
- Prior experience working in multinational or foreign companies will be viewed favorably.
- Familiarity with corporate governance and compliance matters.
- Experience in renewable energy is an advantage (but not mandatory).
- Excellent command of English, particularly in speaking and contract writing.
- Ability to work independently and manage multiple tasks simultaneously.
- Strong analytical, problem-solving, and negotiation skills.
- High level of integrity and professional ethics.
